Terms of Service

These terms form the agreement between you and Foundsy. By creating an account or using the platform you accept them.

1. What Foundsy is

Foundsy is an introduction and discovery platform. Creators, inventors and entrepreneurs publish pitch rooms describing their ideas; investors browse, filter and request introductions.

Foundsy is not a broker, an investment adviser, a fund, or an authorised person under the Financial Services and Markets Act 2000. We do not give investment advice, we do not recommend any opportunity, and we never handle, hold or transfer investment funds. Any transaction is agreed directly between the parties, off platform, at their own risk.

2. Eligibility and accounts

You must be at least 18 and legally able to enter contracts. You are responsible for the accuracy of the information on your profile and for keeping your sign-in credentials secure. One person, one account.

Investors may be asked to self-certify their investor status before financial detail is shown. Giving false information to obtain access is a breach of these terms.

3. Content you publish

You keep ownership of everything you upload. You grant Foundsy a non-exclusive licence to host, display and transmit that content solely to operate the platform. You confirm you have the right to publish it and that it does not infringe anyone else’s intellectual property, breach confidentiality, or mislead.

Pitch content must be truthful. Traction figures, revenue, valuations and IP claims must be capable of being evidenced on request.

4. Verification and badges

Verification badges reflect checks we have carried out against documents and public registers at a point in time. They are not a guarantee, an endorsement, or a substitute for your own due diligence. Tiers can be revoked if information changes or proves inaccurate.

5. NDAs and data rooms

NDAs agreed through Foundsy are contracts between the creator and the investor. Foundsy records the signature, the version of the terms signed, and the time — we are not a party to the agreement and do not enforce it.

Data room access is time-limited and logged. Downloading, copying or sharing confidential documents outside the terms of the NDA you signed is a breach of that NDA and of these terms.

6. Acceptable use

You must not use Foundsy to:

  • solicit investment from people you know to be ineligible;
  • send bulk or automated introduction requests, or scrape the platform;
  • impersonate anyone, or misrepresent a track record or company;
  • upload malware, or attempt to bypass access controls, rate limits or NDAs;
  • publish unlawful, defamatory or discriminatory content.

We may suspend or remove accounts and listings that breach this section, without notice where necessary.

7. Fees

Foundsy is currently free to use while we are testing. If we introduce charges we will tell you in advance and you will be able to decline them.

8. Liability

Foundsy is provided “as is”. We do not warrant that any listing is accurate, that any introduction will lead to funding, or that the platform will be uninterrupted. To the extent permitted by law we exclude liability for investment losses, lost profits, lost opportunity and indirect loss. Nothing here limits liability for death, personal injury or fraud.

9. Termination

You can close your account at any time from your account settings or by contacting us. We may close accounts that breach these terms. Records we are required to keep — signed NDAs, access logs and verification decisions — are retained as described in the Privacy Policy.

10. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
